1. Introduction
This Service Agreement ("Agreement") is made between Oscarvltr Limited, a company registered in the United Kingdom (Company No. 13122948) ("Provider"), and the client ("Client") utilizing the YouTubeStrategyExpert services. The Agreement outlines the terms for the services provided at https://unlimitedyoutubeideas.manyrequests.io/. Services are delivered on a pay-as-you-go basis, with no long-term subscription commitment.

2. Service Description
YouTubeStrategyExpert offers strategic guidance, video reviews, and growth optimization for YouTube creators. Each Client is assigned a dedicated strategist, with the possibility to change strategists upon request. Services are offered through three tiers:

Silver Tier ($997):Perfect for creators who want expert strategic guidance and accountability to consistently improve. This tier focuses on analyzing your past content to provide feedback for future growth, with a monthly call to help set achievable goals

3.  Payment Terms and RenewalsClients pay upfront for the selected service tier. There is no ongoing subscription commitment. Clients can continue by paying upfront for additional months as needed. If the Client does not pay for the next service period before the scheduled call or services, the services will be paused until payment is received.

4. Refund Process and Legal Recourse
All refund requests must be directed to YouTubeStrategyExpert via official communication channels. If the Client raises a chargeback through Stripe without following this process, Oscarvltr Limited reserves the right to pursue legal action to recover the funds, including any associated costs. Refunds agreed upon will be issued promptly once all conditions are reviewed.

5. Client Obligations
- Silver and Gold Tiers: The Client must submit their video ideas for feedback and complete a pre-call questionnaire before the strategy call. Implementing the advice is necessary for the performance guarantee eligibility.
- Diamond Tier: The Client must provide pre-launch access to videos, titles, and thumbnails for feedback. This tier includes video and packaging quality control, which is essential for achieving optimal results.

6. Standard Working Days/Operating Hours
The service operates under standard working days (Monday to Friday). Requests are processed and delivered within the specified timeframes on working days.

7. Approval and Delivery Process:
Ideas are delivered in sets of five every two working days upon request. Clients can provide optional directional instructions for the requested idea set at their discretion. Clients can approve as many ideas as they like from each delivered set. Full creative details for each approved idea are delivered one at a time within 24 hours.

8. Client Obligations
The Client agrees to comply with this Agreement and provide necessary information and feedback for effective service delivery.

13. Acknowledgment
By purchasing a service from YouTubeStrategyExpert.com, the Client agrees to these terms.

14. Intellectual Property Rights
The Client gains exclusive rights to the intellectual property generated upon approval of video ideas and associated creative content. The Client is authorized to use and monetize the provided content for any social media platform and related marketing platforms. This content includes video ideas, thumbnails, shorts ideas, and any creative details specifically developed for the Client. No formal credit is required to be given to YouTubeStrategyExpert.com when using the provided video ideas and creative content

15. Service Limitations and Exclusions
The service does not guarantee the performance of any video on YouTube or any other platform, as external factors like algorithm changes, Client execution or viewer preferences play a significant role. While YouTubeStrategyExpert.com provides creative and potentially viral video ideas, including thumbnails, titles, and conceptual guidance, the ultimate success of these ideas heavily depends on their execution. Execution elements include filming quality, content presentation, video editing, and the final production of thumbnails and titles. The Client is responsible for the quality of execution. YouTubeStrategyExpert.com will endeavour to support the Client by providing high-quality ideas and creative details; however, effectively executing these ideas is crucial and remains the Client’s responsibility. Poor execution of the ideas provided may not fairly reflect the potential of the ideas themselves. YouTubeStrategyExpert.com will do everything possible to ensure that the ideas are actionable and tailored to yield results. However, the Provider can only be held responsible if the execution meets the necessary standards to achieve the desired outcomes.

16. Force Majeure
YouTubeStrategyExpert.com commits to maintaining 100% uptime for the portal and website. The Provider understands the importance of continuous access for the Client to access services. In the case of any service disruptions or downtime of the portal system/website due to circumstances beyond reasonable control, such as natural disasters, server failures, or significant network outages ("Force Majeure events"), the Client will be credited additional services equivalent to the duration of the disruption. This ensures no effective loss in service availability or duration. YouTubeStrategyExpert.com will promptly communicate any issues related to service disruptions to the Client as soon as they occur. Communication will include the nature of the disruption, expected duration, and any measures being taken to restore service. Subsequent adjustments or credits to the Client’s account will be applied automatically, and details of these adjustments will be made available in the Client’s account on the portal.

17. Legal Compliance
This Agreement, and any disputes arising from or related to the Agreement or the services provided by YouTubeStrategyExpert.com, shall be governed by and construed in accordance with the laws of the United Kingdom. All parties agree that any legal action or proceedings related to this Agreement shall be exclusively conducted in the courts of the United Kingdom.In the event of any disputes, the parties will first attempt to resolve them amicably through informal negotiation or mediation. If the dispute cannot be resolved informally, formal proceedings may be initiated in the United Kingdom, where the laws will provide the framework for adjudication. The Client understands that abusing the dispute mechanisms provided by the Provider’s payment processor (e.g., Stripe) to claim refunds unjustly may result in the Provider seeking damages or additional fees. Such actions are taken seriously, and the Provider reserves the right to pursue legal remedies if a Client fraudulently claims refunds or reversals when they are not due. If a refund is deemed appropriate according to the terms of the service agreement (including the specified guarantee conditions), YouTubeStrategyExpert.com will directly issue the refund to the Client. The Client is discouraged from initiating chargebacks or disputes through payment processors but should instead contact YouTubeStrategyExpert.com to address any concerns regarding payments or refunds.

19. Confidentially and Data Security
Personal and proprietary data collected from the Client shall be handled with the utmost care and in compliance with applicable data protection laws. Oscarvltr Limited commits to implementing suitable measures to secure data against unauthorized access or breaches. Any data breach will be reported to the Client and appropriate authorities as required by law within 72 hours of Oscarvltr Limited becoming aware of it. YouTubeStrategyExpert.com commits to protecting the privacy and security of all personal data collected from Clients, including, but not limited to, name, contact information, and payment details. The Client’s personal data will be used solely to provide and improve the Services, process transactions, and communicate with the Subscriber regarding their account or services. The Client acknowledges that they have read and understood the Privacy Policy of YouTubeStrategyExpert.com, which outlines the collection, use, and disclosure of personal information. This policy is available on the https://www.youtubestrategyexpert.com/terms-of-service website and is incorporated by reference into this Agreement.

20. Disclaimers
Oscarvltr Limited provides all services "as is" and disclaims all warranties, express or implied, to the extent permitted by law. Due to the subjective and varying nature of content success on platforms like YouTube, Oscarvltr Limited does not guarantee specific outcomes from the use of its services. Any cause of action or claim the Client may have concerning the Service must be commenced within one (1) year after the claim or cause of action arises, or such claim or cause of action is barred. This limitation ensures that disputes are brought to attention and resolved promptly, reducing prolonged liability.

21. Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, maintaining the original intentions of the parties to the fullest extent possible. If such modification is not possible, the invalid, illegal, or unenforceable provision shall be severed from this Agreement. However, the remaining provisions of this Agreement will continue in full force and effect. This ensures that the entirety of the Agreement does not become void due to the unenforceability of a single clause.

22. Indemnity
The Client agrees to indemnify, defend, and hold harmless YouTubeStrategyExpert.com and its affiliates, officers, agents, employees, partners, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content the Subscriber submits, posts, transmits, modifies or otherwise makes available through the Services, the Client’s use of the Services, their connection to the Services, their violation of the Agreement, or their violation of any rights of another. The failure of YouTubeStrategyExpert.com to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will only be effective if in writing and signed by YouTubeStrategyExpert.com

23. Modification of Service
If YouTubeStrategyExpert.com chooses to terminate the service, the Client shall be entitled to either continue to receive their service until the end of the paid term, or receive a prorated refund based on the services outstanding at the time of termination. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by the Client but may be assigned by YouTubeStrategyExpert.com without restriction. This includes transfers made as a result of a corporate restructuring, sale of assets, merger, or acquisition, ensuring continuity of service under the terms of the agreement.

24. Notices
Any notices to the Client may be made via either email, on the portal website chat system (https://unlimitedyoutubeideas.manyrequests.io/) or regular mail. The Service may also provide notices of changes to the Agreement or other matters by displaying notices or links to notices to the Client generally on the Service. This ensures that the Client is well-informed about any significant changes or requirements.

25. Feedback and Reviews
The Client grants Oscarvltr Limited the right to use any feedback or reviews provided in relation to the service for promotional purposes or service improvement.

26. Use of Third-Party Services
The service's functionality may depend on third-party platforms and services. Oscarvltr Limited is not responsible for any disruptions or changes in these third-party services that may affect the delivery of its service.

27. Non-Solicitation of Strategists and Team Members
The Client agrees not to directly engage or employ any current or former strategist, contractor, employee, or team member associated with Oscarvltr Limited for a period of six (6) years after the working relationship ends. All strategists, contractors, and employees have signed agreements prohibiting them from working with the Client outside of their relationship with the company. If the Client wishes to hire additional services, they must contact the company directly. Failure to comply will result in legal action.

28. Termination for Cause
Oscarvltr Limited reserves the right to terminate this Agreement immediately if the Client breaches any of the terms outlined herein, including but not limited to non-solicitation of strategists or misuse of services. In the event of termination for cause, the Client forfeits the right to any refunds and will be responsible for all outstanding fees.

29. Non-Disparagement
The Client agrees not to publicly disparage or defame Oscarvltr Limited, YouTube Strategy Expert, or Unlimited Viral Ideas. Any feedback should be directed privately to the Provider for resolution.

30. Confidentially and Non-Disclosure
The Client agrees that any information shared by Oscarvltr Limited, including but not limited to strategies, methodologies, and proprietary techniques, are confidential. The Client agrees not to disclose or share any information provided by Oscarvltr Limited with third parties without explicit written permission. Any breach of this confidentiality agreement may result in immediate termination of services and legal action.

31. Limitation of Liability
Oscarvltr Limited shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, loss of data, or business interruption, arising from the use or inability to use the services provided. In no event shall the liability of Oscarvltr Limited exceed the total fees paid by the Client for services under this Agreement.

32. Independent Contractor Status
Oscarvltr Limited provides services as an independent contractor. This Agreement does not create a partnership, joint venture, or employer-employee relationship between the parties. The Client is not authorized to act on behalf of Oscarvltr Limited or bind the company in any manner.

33. Clients Responsibility for Legal Compliance
The Client is solely responsible for ensuring compliance with all applicable laws, regulations, and platform policies (e.g., YouTube's terms and conditions) regarding the use of the provided content, services, or ideas. Oscarvltr Limited disclaims all responsibility for any penalties, restrictions, or adverse consequences arising from the Client’s non-compliance.

34. Indemnification for Breach
In the event that the Client breaches any part of this Agreement, including unauthorized use of proprietary materials or solicitation of employees, the Client agrees to indemnify and hold harmless Oscarvltr Limited for all costs, including but not limited to attorney's fees, court costs, and compensation for damages incurred by the breach.

35. Client Data and Access Rights
Oscarvltr Limited requires specific access to the Client's YouTube account (limited access as a viewer/editor) for the purposes of providing the services. The Client agrees to grant this access as necessary for service delivery. Any revocation of access before services are completed may result in delays or inability to deliver the agreed services. Oscarvltr Limited will not be liable for issues arising from such a revocation

36. Refund Limitation
Refunds will only be considered if the Client has adhered to all aspects of the service process, including providing timely feedback and following through on recommended actions. Refunds will not be issued for services already delivered or utilized.

37. Viral Video Ideas Guarantee for Diamond Tier
‍For clients utilizing the Diamond Tier service, YouTubeStrategyExpert.com guarantees the approval of all five (5) viral video ideas provided in each set. This guarantee is based on the stipulation that if the Client does not approve any of the provided ideas, they must offer specific feedback on the rejected ideas. YouTubeStrategyExpert.com will then revise or swap out those ideas based on the feedback received, ensuring that all five ideas meet the Client's standards and are ultimately approved. The approval process for each set will continue until all ideas are deemed satisfactory by the Client, making this a unique feature of the Diamond Tier. This differs from the Gold Tier, where the Client typically approves three (3) out of the five (5) ideas on average, based on an approximate 70% approval rate. For Gold Tier clients, while high-quality ideas are provided, the approval of all five ideas is not guaranteed.

In addition to the terms of this Service Agreement, if you have purchased the Guaranteed 2X ROI with Data-Backed Ideation & YouTube Strategy Framework package, you are also bound by a separate contract with additional terms specific to that offer. This separate contract outlines the conditions and obligations for the 2X ROI guarantee and the extended service commitment from Oscarvltr Limited if the minimum ROI is not achieved.

Here are the main distinctions and points of clarification:
#1 - Separate Terms for 2X ROI Guarantee: The 2X ROI offer has its own set of terms and conditions, including the requirement to follow specific guidelines for video ideas, production, and collaboration with Oscarvltr Limited. This includes executing ideas as approved and following all recommendations.

#2 - Guaranteed Return: The separate contract for this offer ensures that you will receive a minimum of 2x ROI on your $9,997 investment over the course of 3 months. If this is not met, you will continue to receive ongoing free services (strategy calls and video ideas) until the ROI is achieved.

#3 - Client Responsibility: It is critical that you adhere to all stipulations of the agreement, including communication, providing feedback, attending strategy calls, and allowing video and thumbnail review before publishing. Failing to meet these obligations will void the 2X ROI guarantee.

#4 - Verification of Revenue: For the 2X ROI guarantee, you are required to provide screenshot evidence of revenue from videos produced based on ideas provided by Oscarvltr Limited. The service will be considered complete once $20,000 in gross revenue is generated.

#5 - Contractual Obligation: By signing the separate 2X ROI contract, you agree that it will supersede any conflicting terms in this general Service Agreement where applicable to the specific guarantees and deliverables of the 2X ROI program.Please ensure you are familiar with both this Service Agreement and the specific contract for the 2X ROI offer.
